2. Account Registration, Eligibility & Security
2.1. Eligibility: By using the Platform, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this Agreement. If you are accessing or using the Platform on behalf of an entity, you represent and warrant that you have the authority to bind that entity to this Agreement.
2.2. Account Creation: To utilize our services, you must establish a secure registration profile with a valid email address and password. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
2.3. Credential Responsibility: You assume total legal and operational responsibility for maintaining the absolute confidentiality of your login files. You are fully responsible for all activities that occur under your account, including any publishing actions, media distribution, or data modifications occurring within your Workspace. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
2.4. Public/Shared Device Safety: If logging into your Workspace from a shared computer, corporate terminal, or public network, you must manually log out of your session and close your active web browser window to prevent unauthorized token hijackings. We are not liable for any loss or damage arising from your failure to comply with this section.
3. Multi-Tenant Platform Licensing & Scope of Service
3.1. License Grant: We grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the 1Click Social Media Post Community Management Service Platform ("Platform") solely for the purpose of managing cross-posting, message distribution, and audience interactions as enabled by the Platform's features, strictly in accordance with this Agreement.
3.2. Multi-Tenant Use: As a multi-tenant platform, you may utilize this license to manage your own commercial channels or deploy Workspaces to schedule and monitor campaigns on behalf of your third-party agency clients, provided that such use remains compliant with all terms herein and the terms of service of the respective Third-Party APIs.
3.3. Restrictions: You shall not, directly or indirectly: (a) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Platform; (b) modify, translate, or create derivative works based on the Platform; (c) rent, lease, distribute, sell, resell, assign, or otherwise transfer rights to the Platform; (d) use the Platform for any purpose other than its intended use; (e) remove any proprietary notices or labels.
4. Absolute Dependency on Third-Party APIs (The Core Disclaimer)
4.1. Functional Dependency: Our Platform is functionally and absolutely dependent on the external stability, developer policy guidelines, and interface accessibility of official and unofficial third-party social media provider frameworks. We act as an intermediary, facilitating your interaction with these external networks.
4.2. Integrated Networks: We explicitly connect your Workspaces to fifteen (15) distinct external communication networks, including but not limited to: * Meta Platforms: Facebook, Instagram, and Instagram Unofficial. * Professional Networks: LinkedIn and LinkedIn Page. * Video & Content Streams: TikTok, YouTube, Pinterest, and Reddit. * Microblogging & Community Engines: X (formerly Twitter), Telegram, Mastodon, Discord, and OK (Odnoklassniki). * Local Optimization Frameworks: Google Business Profile.
4.3. Critical API Notice: You acknowledge and understand that these external networks are owned and operated by independent corporations entirely outside our control. These third-party platforms constantly update their security structures, rate-limiting frameworks, and access protocols. We utilize official APIs available in platform developer centers wherever possible. If any third-party network implements critical changes, revokes token authentication parameters, caps upload boundaries, permanently closes access to their systems, or modifies its terms of service, it may result in specific automated features on our Platform malfunctioning or ceasing to function altogether. We do not guarantee that current platform compatibility with any third-party social media API will remain permanent. We are not responsible for any changes, outages, or issues arising from Third-Party APIs.
5. Billing, Payments & No-Refund Policy
5.1. Subscription Tiers: Access to certain features of the Platform requires a paid subscription. Details of subscription tiers, features, and pricing are available on our website.
5.2. Billing Continuity: Our subscription ecosystem operates under a strict billing policy due to our infrastructure's direct reliance on external network parameters described in Section 4. All fees are payable in advance for the chosen subscription period (monthly, quarterly, or annual).
5.3. No API-Related Refunds: You explicitly acknowledge that you cannot request a full or partial refund, chargeback, or credit for service disruptions, system downtimes, or broken automation features caused by third-party API changes or force majeure events (e.g., natural disasters, wars, government actions, widespread internet outages).
5.4. Subscription Finality: All fees paid for monthly, quarterly, or annual subscription tiers are completely non-refundable. If you choose to terminate your plan mid-cycle, your access will remain open until the end of the paid duration, and no partial credits will be issued. We do not provide refunds for any unused subscription periods.
5.5. Functionality Changes: Our product pricing is based on the Platform features available at the moment of billing and is never contingent on the future delivery of any specific network functionality or external patch.
5.6. Payment Authorization: By providing payment information, you authorize us to charge the applicable subscription fees to your designated payment method on a recurring basis until you cancel your subscription. You are responsible for ensuring sufficient funds are available.
5.7. Price Changes: We reserve the right to change our subscription prices with reasonable notice. Your continued use of the Platform after a price change constitutes your agreement to pay the new price.
6. User Content & Acceptable Use Regulations
6.1. Data Rights: Our Platform acts as a passive conduit for your automated message distribution pipelines. You retain total ownership and intellectual property rights over all images, video files, hyperlinks, copy text, and calendar schedules you upload into our dashboard ("User Content"). You grant us a worldwide, royalty-free, non-exclusive license to process, store, and transmit this data strictly to execute your publishing requests and for the operation of the Platform. This license terminates when you remove your content from the Platform or terminate your account, except for copies necessary for backup, archival, or regulatory purposes.
6.2. Compliance with Network Rules: You represent and warrant that your scheduled marketing materials, User Content, and use of the Platform do not violate the distinct terms of use, community standards, developer policies, or any other guidelines of your target channels (e.g., YouTube Terms of Service, Google Terms of Service, Meta Developer Policies, X Terms of Service). You are solely responsible for ensuring your User Content and activities comply with these third-party rules.
6.3. Prohibited Content & Actions: You are strictly prohibited from using our Platform to: * Coordinate inauthentic engagement, distribute malicious software links, execute mass-spam campaigns, or engage in any form of manipulative or deceptive behavior. * Publish or transmit text or media that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable. * Publish or transmit any User Content that infringes on third-party intellectual property rights (including copyrights, trademarks, patents, and trade secrets) or privacy rights. * Upload, post, or transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation. * Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity. * Interfere with or disrupt the Platform or servers or networks connected to the Platform, or disobey any requirements, procedures, policies, or regulations of networks connected to the Platform. * Engage in any activity that could damage, disable, overburden, or impair the Platform or interfere with any other party's use and enjoyment of the Platform.
7. Intellectual Property Rights (Company's)
